Position Information:
Independent Member of the Audit Committee (performing the functions of an independent member of the audit committee in accordance with the provisions of the Law of Ukraine "On Audit of Financial Statements and Auditing Activities").
Definition of Independence:
The candidate should not be an employee of the State Enterprise "Odessa Commercial Sea Port", nor a member of the company's management, or otherwise connected with the company.
Legal Status of Membership in the Audit Committee:
Civil law contract
Level of Compensation for Work Performed:
Compensation is set at the level of two minimum wages established at the beginning of the year in which the contract is signed.
Candidate Requirements:
- Higher education in at least one of the following fields: Management and Administration; Public Administration; Law; Transport; International Relations; Finance; Economics.
- At least 6 months of experience in managerial positions (experience in managerial positions at a state enterprise or auditing company will be a significant advantage).
- Full legal capacity.
- Impeccable business reputation, adherence to high business standards and principles, commitment to integrity, impartiality, and honesty.
- No unresolved criminal convictions and no administrative penalties for corruption offenses within the last two years.
- Compliance with independence requirements.
- Fluency in Ukrainian, both orally and in writing.
- Commitment to dedicate up to 100 hours per year to fulfilling the duties of an audit committee member.
- Not a citizen of the Russian Federation or the Republic of Belarus, unless their residence in Ukraine is legal.
- Not a founder, shareholder (participant), manager, member of the supervisory board, employee, or representative of a person subjected to personal, special economic, or other restrictive measures (sanctions) by the Government of Ukraine within the past six years.
Candidate Independence Criteria:
- The candidate must not be an employee of State Enterprise "Odessa Commercial Sea Port" or have significant business relationships with the enterprise, including through family members.
- The candidate must not be an auditor, key audit partner, official, or employee of the auditing entity involved in providing mandatory audit services for the financial statements of State Enterprise "Odessa Commercial Sea Port" for at least the last two calendar years.
- The candidate must not be a manager, member of the Supervisory Board, or employee of the Ministry of Communities and Territories Development of Ukraine or any other government body managing State Enterprise "Odessa Commercial Sea Port".
Preferred Qualifications:
- Experience working in an auditing company.
- Experience in managerial positions in a state-owned transport enterprise.
- Experience in accounting and preparation of financial statements in accordance with International Financial Reporting Standards (IFRS).
- Experience serving on an audit committee.
Main Expected Functions of Independent Members of the Audit Committee of State Enterprise "Odessa Commercial Sea Port":
As defined by the Law of Ukraine "On Audit of Financial Statements and Auditing Activities".

- Motivation letter for performing the duties of an Audit Committee member (maximum of two pages)
